Welcome to The GPT Shop (thegptshop.online)! These Terms of Service ("Terms") govern your use of our website and services (collectively, the "Service") offered by thegptshop.online ("The GPT Shop", "we", "us", or "our"), a business based in Mexico.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

The GPT Shop provides a platform for purchasing single-use access codes ("Access Codes") that allow end-users to access custom Generative Pre-trained Transformer models ("Custom GPTs") created by third-party individuals or entities ("Creators") on platforms such as OpenAI's ChatGPT.

We facilitate the sale of these Access Codes. We are not responsible for the creation, content, functionality, or maintenance of the Custom GPTs themselves.

2. Eligibility

To use our Service (i.e., to purchase Access Codes), you must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater. By using the Service, you represent and warrant that you meet this requirement.

3. Access Codes

Nature of Access Codes

  • Purchase: When you purchase Access Codes, you are purchasing a license to use these codes for their intended purpose – to gain one-time access to a specific Custom GPT.
  • Single-Use: Each Access Code is strictly for single use. Once an Access Code is redeemed by an end-user to access a Custom GPT, it cannot be used again.
  • Delivery: Access Codes will be delivered electronically to the email address you provide at the time of purchase. You are responsible for providing a valid email address.

Restrictions and Validity

  • No Resale: You may not resell, distribute (except to your intended end-users if you are a Creator who purchased codes for your own Custom GPT users), or otherwise transfer Access Codes for commercial gain without our express written permission.
  • Validity: Access Codes are typically valid for one year from the date of purchase unless otherwise specified at the time of purchase. Expired codes will not be refunded or replaced.
  • Security: You are responsible for maintaining the confidentiality of your purchased Access Codes until they are distributed to the intended end-user.

4. Payments and Billing

Pricing and Processor

  • Pricing: Prices for Access Codes are listed on our Service and are subject to change without notice.
  • Payment Processor: We use Stripe, a third-party payment processor, to handle all payment transactions. Your use of Stripe is subject to Stripe's own terms of service and privacy policy. We do not store your full credit card or debit card information.

Taxes and Refunds

  • Taxes: You are responsible for any applicable taxes, duties, or other governmental levies associated with your purchase.
  • Refunds: Due to the digital nature of Access Codes and their immediate utility, all sales are final once Access Codes are generated and delivered. We do not offer refunds except where required by applicable law.

5. User Conduct and Responsibilities

You agree not to use the Service:

  • For any unlawful purpose or in violation of any local, state, national, or international law.
  • To infringe upon or violate our intellectual property rights or the intellectual property rights of others (including Creators of Custom GPTs).
  • To transmit any worms or viruses or any code of a destructive nature.
  • To attempt to circumvent any security measures of the Service or the Custom GPTs.

6. Intellectual Property

Our Service and Trademarks

  • Our Service: The GPT Shop and its original content (excluding content provided by users or third parties), features, and functionality are and will remain the exclusive property of thegptshop.online and its licensors.
  • Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Third-Party Content

  • Custom GPTs: We do not claim ownership of the Custom GPTs. All intellectual property rights in the Custom GPTs belong to their respective Creators or licensors.
  • Access Codes: The Access Codes themselves are a product of The GPT Shop.

7. Disclaimers

  • THE SERVICE AND ACCESS CODES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE OPERATION OF OUR SERVICE OR THE INFORMATION, CONTENT, MATERIALS, OR PRODUCTS INCLUDED ON THE SERVICE.
  • WE DO NOT WARRANT THAT THE ACCESS CODES WILL GRANT ACCESS TO CUSTOM GPTS THAT ARE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC EXPECTATIONS. THE FUNCTIONALITY, QUALITY, AND SAFETY OF CUSTOM GPTS ARE THE SOLE RESPONSIBILITY OF THEIR RESPECTIVE CREATORS.
  • WE DO NOT ENDORSE AND ARE NOT RESPONSIBLE FOR THE CONTENT OR FUNCTIONALITY OF ANY CUSTOM GPT ACCESSED VIA CODES PURCHASED THROUGH OUR SERVICE. ANY INTERACTION WITH A CUSTOM GPT IS AT YOUR OWN RISK.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE GPT SHOP, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  • (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY (INCLUDING CREATORS OR END-USERS OF CUSTOM GPTS) ON OR RELATED TO THE SERVICE;
  • (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND
  • (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

This applies whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US FOR ACCESS CODES IN THE SIX (6) MONTHS PRIOR TO THE CLAIM ARISING.

9. Indemnification

You agree to defend, indemnify and hold harmless The GPT Shop and its licensee and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:

  • a) your use and access of the Service, or
  • b) a breach of these Terms.

10. Governing Law

These Terms shall be governed and construed in accordance with the laws of Mexico, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

11. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Service shall first be attempted to be resolved through amicable negotiations. If such negotiations fail, the dispute shall be submitted to the competent courts located in Xico, Veracruz, Mexico.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Service.
